For many business buyers, the goal isn't simply acquiring a profitable business, it's acquiring one that can continue to perform after settlement.

That's one reason businesses operating under management continue to attract strong interest. Rather than relying on the owner to oversee every aspect of the operation, these businesses have established teams, documented systems and experienced managers who keep the business running day to day.

For buyers, that can reduce one of the biggest concerns in any acquisition: transition risk.

Rather than treating the manager as someone to replace, a creative solution was developed that saw them retain a minority equity stake in the business after the sale.

The outcome delivered benefits for everyone involved. The seller achieved their desired sale price despite selling only 80 per cent of the business, the manager became invested in its future success, and the buyer gained confidence that the business would continue performing after settlement. Even more impressively, the business reportedly increased profitability by a further 15 per cent within months of the transaction.

It's a reminder that successful business sales aren't always about finding the highest bidder. Sometimes they're about finding the right structure.

For buyers considering an under-management business, due diligence should extend beyond the financial statements. Ask how decisions are made, who holds customer relationships, what systems are documented, how long key managers have been with the business, and whether incentive structures exist to retain them after settlement.

The strongest businesses are rarely built around one person. They're built around systems, capable people and a culture that allows the business to thrive regardless of who owns it.
